1. Agreement to These Terms

These Website Terms of Use (the "Terms") are an agreement between you and Socrates Systems Inc. ("Socrates," "we," "us," or "our"). They govern your access to and use of socratesos.com, including its pages, content, and forms (collectively, the "Website").

By accessing or using the Website after these Terms become effective, you agree to these Terms. If you do not agree, do not access or use the Website. If you use the Website on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms, and "you" includes that entity.

2. Website Scope

The Website is a public business-to-business and business-to-consumer marketing and waitlist site for people and teams that want the intelligence behind their products or operations to become an owned asset. It provides general information about Socrates and allows visitors in the United States to request consideration for private-beta access.

These Terms apply only to the Website. They do not govern any Socrates software, model, platform, application, implementation, support, private-beta access, or other paid or professional service. Any such offering is governed by the separate written agreement between Socrates and the applicable customer or participant. If a separate agreement conflicts with these Terms regarding that offering, the separate agreement controls.

3. Eligibility

The Website does not require visitors to be at least 18 years old. If you are not legally capable of agreeing to these Terms, you may use the Website only with the involvement and permission of a parent or legal guardian who agrees to these Terms on your behalf. The Website is a general-audience service and is not directed to children under 13.

4. No Professional Advice

Website content is provided for general business and technology information only. It is not legal, tax, accounting, financial, investment, cybersecurity, privacy, artificial-intelligence governance, or other professional advice; it does not establish a professional or fiduciary relationship; and it should not be used as a substitute for advice from appropriately qualified professionals.

Do Not Submit Sensitive or Confidential Information

The Website is not a product workspace and is not designed to receive passwords, credentials, government identifiers, payment information, regulated data, trade secrets, source code, proprietary model inputs or training data, or other sensitive or confidential information. Do not submit such information through the waitlist form or another Website communication channel. If you submit it inadvertently, use the contact method that will be identified in Section 16 so that Socrates can review and, where appropriate, delete it.

5. Informational Content

We may update Website content, but we do not promise that it is complete, accurate, current, or suitable for a particular purpose. Descriptions of planned or potential products, models, features, ownership structures, results, private-beta access, or availability are informational only and do not create a warranty or commitment. Your purchase or use of a Socrates offering should be based only on the applicable written customer or participation agreement, not on Website content.

6. Acceptable Use

You may use the Website only for lawful personal or business purposes. You may not:

• Violate any applicable law or the rights of another person;
• Submit false, misleading, unlawful, infringing, harmful, or confidential information that you are not authorized to provide;
• Submit sensitive or regulated data, credentials, malicious code, or material that interferes with the Website or another person's use of it;
• Probe, scan, or test the vulnerability of the Website, bypass a security or access-control measure, or gain unauthorized access to any system or data;
• Use a bot, scraper, crawler, or other automated means to access or extract Website content except as permitted by our robots.txt file or applicable law;
• Copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Website except as expressly permitted by these Terms or applicable law; or
• Impersonate another person, misrepresent your affiliation, or use the Website to send spam or other unauthorized communications.

We may restrict or terminate access to protect the Website, Socrates, our users, or others, or if we reasonably believe these Terms have been violated.

7. Intellectual Property

The Website and its content, design, text, graphics, logos, trademarks, and software are owned by Socrates or its licensors and are protected by intellectual-property and other laws. Subject to these Terms, Socrates grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Website for your personal or internal business evaluation of Socrates. No other right or license is granted by implication or otherwise.

Socrates and its logos, product names, and related marks are trademarks of Socrates or its licensors. You may not use them without prior written permission. All third-party names and marks belong to their respective owners.

8. Submissions and Feedback

You represent that you have the rights and permissions needed to submit information through the Website. You retain ownership of your submission. You grant Socrates a non-exclusive, worldwide, royalty-free license to host, copy, use, and disclose it only as reasonably necessary to respond to your request, operate and secure the Website, comply with law, and exercise or defend legal claims, subject to our Privacy Policy.

If you voluntarily provide ideas, suggestions, or other feedback about Socrates or the Website, you grant Socrates a perpetual, irrevocable, worldwide, royalty-free right to use and commercialize that feedback without restriction or compensation. Do not provide feedback that you consider confidential or proprietary.

9. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information through the Website. It is incorporated into these Terms by reference. Please review it before using the Website or submitting information.

10. Third-Party Services and Links

The Website may contain links to or integrations with third-party websites and services. Socrates does not control and is not responsible for their content, availability, security, or practices. Links do not imply endorsement. Your use of a third-party service is governed by that third party's terms and policies.

11. Website Availability and Changes

We may change, suspend, or discontinue any part of the Website at any time. We do not guarantee that the Website will be available, uninterrupted, secure, or error-free, or that defects will be corrected. We are not responsible for losses caused by events outside our reasonable control.

12. Disclaimer of Warranties

Some jurisdictions do not allow certain warranty exclusions, so some of the exclusions above may not apply to you. In that event, the exclusions apply to the greatest extent permitted by law.

13. Limitation of Liability

These limitations do not apply to liability that cannot lawfully be excluded or limited. Any separate customer or participation agreement governs liability arising from the products or services covered by that agreement.

14. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Socrates and its affiliates, officers, directors, employees, and agents from claims, damages, liabilities, judgments, losses, and reasonable costs and attorneys' fees arising from your unlawful use of the Website, your violation of these Terms, or information you submit in violation of another person's rights. Socrates may control the defense of a covered claim, and you will reasonably cooperate. You may not settle a claim that imposes an obligation on Socrates without Socrates's prior written consent.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Subject to any mandatory law that provides otherwise, the state and federal courts located in Tarrant County, Texas will have exclusive jurisdiction over any dispute arising out of or relating to the Website or these Terms, and you and Socrates consent to personal jurisdiction and venue in those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16. Contact and Copyright Concerns

To ask a question about these Terms, report sensitive information submitted inadvertently, or report content that you believe infringes your copyright, submit the Website form and describe your request in the Message field. The form is Socrates's only public contact channel at this time; Socrates does not publish a support email address or phone number.

A copyright report should identify the copyrighted work, the allegedly infringing Website material and its location, your contact information, a statement of your good-faith belief that the use is unauthorized, and a statement under penalty of perjury that your report is accurate and that you are authorized to act for the copyright owner, together with your physical or electronic signature. We may request additional information needed to evaluate the report.

17. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Unless applicable law requires otherwise, changes take effect when posted and apply prospectively. Your continued use of the Website after the effective date of revised Terms constitutes acceptance of the revised Terms. If you do not agree, stop using the Website.

18. General Terms

These Terms and the Privacy Policy are the entire agreement between you and Socrates concerning the Website and supersede prior or contemporaneous understandings about the Website. They do not amend a separate written customer or participation agreement. If a provision is held unlawful or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Socrates's failure to enforce a provision is not a waiver. You may not assign these Terms without Socrates's prior written consent; Socrates may assign them in connection with a merger, acquisition, reorganization, or sale of assets. Headings are for convenience only. Sections that by their nature should survive termination will survive, including Sections 7, 8, and 12 through 18.

19. Accessibility

Socrates publishes these Terms as machine-readable HTML designed to target WCAG 2.1 Level AA and support screen readers. Automated accessibility scans cover the legal pages, but Socrates has not completed an independent or comprehensive manual conformance audit or documented manual testing with assistive technologies. Translations, PDF, large-print, and other reasonable alternative formats are available upon request through the Website form.
